1. Agreement to Terms

Welcome to Wheel Sanctuary. These Terms of Service ("Terms") govern your use of our website, services, and any related applications or platforms (collectively, the "Services") operated by Wheel Sanctuary, a business located at 123 Bay Street, Suite 800, Toronto, ON M5J 2T3, Canada.

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Services.

2. Description of Services

Wheel Sanctuary provides public speaking training and communication coaching services, including but not limited to:

• Individual coaching sessions
• Group workshops and training programs
• Corporate training services
• Online courses and educational content
• Educational resources and materials
• Newsletter and blog content

3. Eligibility and Registration

3.1 Age Requirements

Our services are intended for individuals who are at least 18 years of age. Participants under 18 must have parental or guardian consent and supervision.

3.2 Account Registration

Some services may require you to create an account. When registering, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security and confidentiality of your login credentials
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access

4. Service Terms and Conditions

4.1 Individual Coaching Services

• Scheduling: Sessions must be scheduled at least 48 hours in advance
• Cancellation Policy: 24-hour notice required for cancellations; sessions cancelled with less notice may be charged
• Rescheduling: Sessions may be rescheduled once without penalty with 24-hour notice
• Duration: Standard sessions are 60 minutes unless otherwise specified

4.2 Group Workshops

• Enrollment: Workshop enrollment is subject to availability and minimum participant requirements
• Attendance: Regular attendance is required; missed sessions cannot be made up individually
• Materials: All necessary materials will be provided as part of the workshop fee
• Completion: Certificates are issued upon completion of at least 75% of scheduled sessions

4.3 Corporate Training

• Custom Proposals: All corporate training is subject to a separate written agreement
• Minimum Requirements: Corporate training requires a minimum of 5 participants
• Scheduling: Programs must be scheduled at least 2 weeks in advance
• Materials: Custom materials and resources will be developed as agreed

5. Payment Terms

5.1 Pricing and Fees

• All prices are listed in Canadian dollars (CAD)
• Prices are subject to change with 30 days' notice for ongoing services
• All fees include applicable taxes (HST/GST) where required
• Payment processing fees may apply for certain payment methods

5.2 Payment Methods

We accept the following payment methods:

• Credit cards (Visa, MasterCard, American Express)
• Debit cards
• Electronic bank transfers
• Corporate invoicing (for approved business clients)

5.3 Payment Schedule

• Individual Sessions: Payment due at time of booking
• Workshop Programs: Full payment due before program start date
• Corporate Training: 50% deposit required, balance due within 30 days
• Online Courses: Payment required before access is granted

6. Cancellation and Refund Policy

6.1 Client Cancellations

• Individual Sessions: Full refund with 24+ hours notice; no refund for same-day cancellations
• Workshops: Full refund if cancelled 7+ days before start date; 50% refund if cancelled 3-7 days before; no refund for cancellations within 3 days
• Online Courses: Full refund within 7 days of purchase if less than 25% of content accessed

6.2 Company Cancellations

In the rare event that we must cancel a service:

• Full refund of all payments made
• Reasonable efforts to reschedule or provide alternative arrangements
• No liability for indirect or consequential damages

7. Intellectual Property Rights

7.1 Our Content

All content provided through our Services, including but not limited to:

• Training materials and curricula
• Videos, audio recordings, and presentations
• Written guides, templates, and resources
• Website content and design
• Proprietary methodologies and frameworks

is owned by Wheel Sanctuary and protected by Canadian and international copyright laws.

7.2 License to Use

We grant you a limited, non-exclusive, non-transferable license to use our materials for personal or internal business purposes only. You may not:

• Reproduce, distribute, or sell our materials
• Create derivative works based on our content
• Use our materials for commercial training without written permission
• Remove copyright or proprietary notices

8. User Conduct and Obligations

8.1 Acceptable Use

When using our Services, you agree to:

• Treat all participants and staff with respect and professionalism
• Arrive punctually for scheduled sessions
• Participate actively and constructively in group activities
• Respect the confidentiality of other participants
• Follow all facility rules and safety guidelines

8.2 Prohibited Conduct

You may not:

• Engage in disruptive, offensive, or inappropriate behavior
• Share confidential information about other participants
• Record sessions without explicit written permission
• Use our Services for illegal or unethical purposes
• Attempt to circumvent security measures or access restrictions

9. Privacy and Confidentiality

9.1 Your Privacy

Your privacy is important to us. Please review our Privacy Policy, which governs how we collect, use, and protect your personal information.

9.2 Confidentiality

We maintain strict confidentiality regarding:

• Content of individual coaching sessions

10. Limitation of Liability

10.1 Service Limitations

While we strive to provide high-quality training, we cannot guarantee specific outcomes or results. Success in public speaking depends on many factors including individual effort, practice, and application of techniques learned.

10.2 Liability Limits

To the maximum extent permitted by law, Wheel Sanctuary's liability is limited to:

• The amount paid for the specific service giving rise to the claim
• Direct damages only (no indirect, consequential, or punitive damages)
• Claims made within one year of the incident

11. Disclaimers

Our Services are provided "as is" and "as available." We disclaim all warranties, express or implied, including:

• Warranties of merchantability or fitness for a particular purpose
• Guarantees of specific results or outcomes
• Warranties regarding uninterrupted or error-free service
• Warranties regarding accuracy of content

1. Direct Negotiation: Good faith discussions between the parties
2. Mediation: If negotiation fails, binding mediation in Toronto, Ontario
3. Arbitration: If mediation fails, binding arbitration under Ontario arbitration rules

15. Force Majeure

We shall not be liable for any failure to perform our obligations due to circumstances beyond our reasonable control, including but not limited to:

• Natural disasters or extreme weather
• Government actions or regulations
• Public health emergencies
• Labor strikes or shortages
• Technical failures or cyber attacks

16. Modifications to Terms

We reserve the right to modify these Terms at any time. When changes are made:

• Updated Terms will be posted on our website
• The "Last Updated" date will be revised
• Significant changes will be communicated via email
• Continued use constitutes acceptance of new Terms

17. Severability

If any provision of these Terms is found to be unenforceable or invalid, the remaining provisions will continue in full force and effect.

These Terms, together with our Privacy Policy and any additional service agreements, constitute the entire agreement between you and Wheel Sanctuary regarding our Services.
